PREAMBLE

This notice is provided for the website https://elexonik.com/ (Site).

Seller details: NAVOMAT S.R.L, Viale della regione 40 C 42 B – 93100 Caltanissetta (CL), Caltanissetta Chamber of Commerce, VAT no. 02151340854, R.E.A.: REA CL-122798, Telephone: +39 380 637 4515, Email: info@elexonik.com (Seller).

Art. 1 Scope of application

1.1 The General Terms of Sale apply to all sales made by the Seller on the Site.

1.2 Where the Site allows it, entering your tax code (codice fiscale) when making a purchase means that you are acting as a Consumer within the meaning of Art. 3, paragraph 1, letter a) of the Italian Consumer Code (Legislative Decree no. 206 of 6 September 2005). Please note that a Consumer is a natural person who acts for purposes unrelated to any entrepreneurial, commercial, professional or craft activity they may carry out. If, on the other hand, you are given the option of entering a VAT number (your own or that of a legal entity), this means a purchase as a “Professional”, within the meaning of Art. 3, paragraph 1, letter c) of the Consumer Code. A Professional is a natural or legal person acting in the exercise of their entrepreneurial, commercial, craft or professional activity, or an intermediary of such a person. The implications of purchasing as a Consumer rather than as a Professional are described in the rest of this document.

1.3 The time limits indicated are to be understood as working days, and therefore exclude Saturdays, Sundays and national public holidays. The images and descriptions on the Site are to be understood as merely indicative. Colours may differ from the real ones because of the settings of the IT systems or computers you use to view them.

1.4 The General Terms of Sale may be amended at any time. Any amendments and/or new terms will be in force from the moment they are published on the Site. You are therefore invited to visit the Site regularly and to consult the most up-to-date version of the General Terms of Sale before making any purchase.

1.5 The General Terms of Sale that apply are those in force on the date the purchase order is sent.

1.6 These General Terms of Sale do not govern the sale of products and/or services by parties other than the Seller that may be present on the Site through links, banners or other hypertext connections. Before carrying out commercial transactions with such parties, you must check their terms of sale. The Seller is not responsible for the provision of services and/or the sale of products by such parties. The Seller carries out no control and/or monitoring of the websites that can be accessed through such connections. The Seller is therefore not responsible for the content of such sites or for any errors and/or omissions and/or breaches of law by them.

1.7 You are required to read these General Terms of Sale carefully, as well as all other information the Seller provides on the Site, including during the purchase procedure.

1.8 The Seller may in no case be held liable towards you or third parties for any indirect, incidental, special or consequential damage. This includes, by way of example, any loss of profit or other indirect loss resulting from the use of the Site or from the inability to use it. The Seller cannot guarantee or state: (i) that the Site is free from viruses or programs that may damage data; (ii) that the information contained on the Site is accurate, complete and up to date.

1.9 Unless otherwise agreed with the Seller, orders cannot be placed by email on the Site. The Seller does not accept orders by telephone, unless otherwise agreed with the customer.

1.10 All elements of the Site are the property of the Seller or of third parties. Without the Seller’s specific written consent, it is prohibited to reproduce, in whole or in part and by any means, distribute, publish, transmit, modify or sell all or part of the content of the Site.

Art. 2 Purchases on the Site

2.1 To make purchases on the Site you must follow the procedure on the Site itself, entering the data requested from time to time. The sales contract is concluded when the order reaches the Seller’s server.

2.2 You undertake to inform the Seller immediately if you suspect or become aware of any misuse or improper disclosure of any information you have entered on the Site.

2.3 You guarantee that the personal information provided is complete and truthful and undertake to keep the Seller indemnified and held harmless from any damage, obligation to pay compensation and/or penalty arising from and/or in any way connected with the breach of this undertaking. You undertake to inform the Seller immediately if you suspect or become aware of any misuse or improper disclosure of your credentials for accessing the Site.

2.4 The Seller reserves the right to refuse orders from users who have previously breached these General Terms of Sale or any legal provision.

2.5 To place orders on the Site it is not necessary to accept these General Terms of Sale. In any case, sending the purchase order constitutes acceptance of this document.

2.6 The Seller is the sole counterparty of the user who intends to purchase one or more products through the Site and is therefore (i) the party to whom the user addresses their order in order to accept the offer and conclude the sales contract; (ii) the party who assumes towards the user the pre-contractual obligations arising from the offer; (iii) the party who concludes the sales contract with the user, assuming the related obligations and rights. The purchase contract concluded through the Site is therefore concluded between the user and the Seller.

2.7 On the Site and in communications with customers relating to the Site, the Seller reserves the right to act under its own trade name. Therefore, when the Seller’s trade name is used on the Site and/or in communications with customers relating to the Site, or when the first person plural (“We”) is used, the reference is to be understood as being, in addition to the Site, also to the Seller.

2.8 The Seller gives no guarantee that the Site is constantly working and operational. Updates to the CMS platform may in fact occur which could imply a temporary suspension of the service. The Seller assumes no liability whatsoever with reference to any kind of prejudice or damage that the user may suffer as a result of this circumstance.

2.9 After the purchase, you will receive an order confirmation email. The order confirmation email will contain at least the following information: (i) Seller’s details; (ii) characteristics of the Product purchased; (iii) purchase price and any taxes; (iv) any additional charges; (v) right of withdrawal or its exclusion; (vi) shipping address; (vii) payment method used.

2.10 The colours of the Products on the Site are indicative and may depend on the resolution of the device used by the user. The Seller assumes no liability if the colour of the Product differs from what the user expected. The user is invited to contact the Seller in case of doubts about the colour of one or more Products on the Site.

Art. 3 Availability of Products

3.1 The Products offered on the Site are in limited quantity. It may therefore happen, also because several users may purchase the same Product at the same time, that the Product ordered is no longer available after the purchase order has been sent. For Products not available in stock, a Quick Quote may be requested in accordance with Articles 3.6 to 3.10.

3.2 Information on the availability of Products is available on the Site. The availability of Products is continuously monitored and updated. However, since the Site may be visited by several users at the same time, it may happen that several users purchase the same Product at the same instant. In such cases, therefore, the Product might appear, for a short period of time, to be available, when it is in fact sold out or not immediately available and it is necessary to wait for restocking.

3.3 You will be informed if the Product ordered is unavailable. In this case you will be entitled to terminate the purchase contract. In any event, please consider that, before requesting termination of the contract, the Seller reserves the right to implement these measures:

  • If restocking is not possible, the Seller will supply a different product of equivalent or higher value, subject, in the latter case, to payment of the difference, and to the user’s express acceptance.
  • If restocking is possible, an extension of the delivery times, offered by the Seller, indicating the new delivery time.

3.4 If a refund is requested of what was paid for the purchase of Products that then proved to be unavailable, the Seller makes the refund within a maximum of 10 days.

3.5 If you exercise the right of termination, the contract is terminated. If payment of the total amount due, consisting of the price of the Product, shipping costs, if applied, and any other additional cost, as resulting from the order (Total Amount Due) has already been made, the Seller will refund the Total Amount Due in accordance with the article “Payment methods” infra.

3.6 When a Product is not available in stock, the Site displays the wording “Quick quote” and, instead of immediate purchase, a request can be sent using the “Request a Quote” button (Quick Quote). Quick Quote is a service reserved for Professional customers. The Seller reserves the right not to follow up requests from Consumers; if it does follow them up, the mandatory provisions protecting the Consumer remain unaffected.

3.7 Following the request, the Seller communicates an offer (Offer) containing the specifications of the Product, the price, and the costs and delivery times specific to that Product, as well as the validity period of the Offer. The delivery times indicated in the Offer prevail over what is provided for in Articles 6.3 and 6.4.

3.8 The Offer may be accepted, by way of derogation from Articles 1.9 and 2.1: (i) by means of a draft checkout prepared by the Seller with the specifications of the Product and the related costs, the completion of which by the user constitutes acceptance of the Offer; or (ii) by sending to the Seller the Offer issued on letterhead, signed and stamped for acceptance. In both cases the purchase contract is concluded at the time the Offer is accepted and such acceptance entails acceptance of these General Terms of Sale.

3.9 The Product subject to Quick Quote is ordered by the Seller from the supplier specifically at the user’s request. Therefore, without prejudice to Article 3.6 in relation to Consumers, from the moment the Offer is accepted the order is immediately transmitted to the supplier and can no longer be modified or cancelled, and the Product cannot be returned or replaced, nor can a refund of the price be requested.

3.10 The rights arising from the guarantee referred to in Article 8 remain unaffected in the event of defects or lack of conformity of the Product, as well as in the event of delivery of a Product different from that indicated in the Offer.

Art. 4 Prices

4.1 On the Site, prices include VAT. For professional customers established in another Member State of the European Union, holding a valid VAT number, validation of the VAT number at checkout results in the removal of VAT from the order total, as this is an intra-Community supply that is not taxable under the conditions provided by law.

4.2 In addition, on the Site prices also include the WEEE contribution, where applicable. You are invited to contact the Seller at the contact details given in the Preamble to find out how to have the product you own, equivalent to the Product you purchased, disposed of free of charge.

4.3 The Seller reserves the right to change the price of the Products at any time without notice, it being understood that the price charged to you will be that indicated on the Site at the time the order is placed and that no account will be taken of any subsequent variations (upwards or downwards) after its transmission.

4.4 Shipping costs for the Products are at your expense for orders below or equal to a specific amount (indicated on the Site from time to time): for higher amounts, shipping is free.

4.5 The Seller will ship the Products only after receiving confirmation of payment authorisation or that the Total Amount Due has been credited. Ownership of the Products will be transferred to you at the time of shipping, understood as the moment the Product is handed over to the carrier. The risk of loss or damage to the Products, for reasons not attributable to the Seller, will instead be transferred to you when you, or a third party designated by you other than the carrier, take material possession of the Products.

4.6 The purchase contract is subject to a condition subsequent of non-payment of the Total Amount Due. Unless otherwise agreed in writing with you, the order will consequently be cancelled.

4.7 If there is an error in the price of the Product indicated on the Site, the Seller reserves the right to communicate the correct one to the customer even after the purchase order has been concluded. In this scenario the customer may accept the new price or terminate the purchase contract. The Seller may also cancel the purchase contract for the Product in these cases. The Seller may likewise cancel the sale if there is an error in the availability of the Product.

Art. 5 Payment methods

5.1 This article describes the payment methods available on the Site. The user can read more information by accessing the section dedicated to “Payments” on the Site. The user can access this section directly from the footer of the Site.

5.2 On the Site you can buy using payment cards. The charge will be made only after (i) the details of the payment card you use for payment have been verified and (ii) the company issuing the payment card you use has given authorisation for the charge. In application of Directive 2015/2366/(EU) on payment services in the internal market (PSD2), the user is informed that they may be asked to complete the purchase procedure by meeting the authentication criteria required by the payment institution in charge of handling the online payment transaction. The authentication criteria relate to the user’s identity (to meet this criterion the user must be registered on the Site at the time of the purchase transaction) and to the simultaneous knowledge of the authentication code sent by the payment institution (Strong Customer Authentication). Failure to complete the procedure described above may mean that the purchase on the Site cannot be finalised. The confidential details of the payment card (card number, holder, expiry date, security code) are encrypted and transmitted directly to the payment processor without passing through the servers used by the Seller. The Seller therefore never has access to, and does not store, even if you choose to store such data on the Site, the details of the payment card you use to pay for the Products. The accepted payment cards can be seen in the footer of the Site and/or during the purchase procedure.

  • Visa.
  • MasterCard.
  • Maestro.
  • American Express.

5.3 On the Site it is possible to pay by bank transfer. The bank details are displayed on the Site. If payment is not made within 7 calendar days, the Seller reserves the right to cancel the purchase order.

5.4 On the Site it is not possible to purchase by cash on delivery, unless otherwise agreed with the Seller.

5.5 On the Site it is possible to complete the purchase by entering discount codes, coupons or vouchers. If the value of the discount code is lower than that of the order, the remaining sum can be completed using the payment methods provided on the Site. Each discount code can be used for one purchase only. Under no circumstances can discount vouchers be converted into cash.

5.6 Any alternative methods other than those indicated above are or will be described in this article.

  • On the Site it is also possible to make purchases using the PayPal payment solution. If you choose PayPal as your payment method, you will be redirected to the site www.paypal.it where you will make the payment according to the procedure provided for and governed by PayPal and the contract terms and conditions agreed between the user and PayPal. The data entered on the PayPal site will be processed directly by PayPal and will not be transmitted to or shared with the Seller. The Seller is therefore unable to know, and does not store in any way, the details of the payment card linked to your PayPal account or the details of any other payment instrument connected to that account.
  • On the Site it is also possible to make purchases using Apple Pay, Google Pay, Klarna and Satispay. If you choose one of these solutions, the payment will be handled by the respective service provider in accordance with the procedure and the contract terms and conditions provided by them. The data entered for payment will be processed directly by the provider and will not be stored by the Seller.

5.7 Pursuant to Legislative Decree no. 26 of 7 March 2023, the prices published on the Site have not been personalised on the basis of automated decisions. The prices displayed on the Site are therefore not influenced by the consumer’s previous behaviour.

5.8 In the event of a price reduction, for technical reasons the Site is unable to indicate the lowest price applied to consumers generally in the 30 days preceding the application of the price reduction. For more information on price-change policies, you are invited to contact the Seller at the references given in the Preamble.

5.9 If, for any reason, the Seller should make any kind of refund in your favour for the purchase of one or more Products, the Seller will make the refund using the same payment method used by the user. Any delays in the refund may depend on the bank, the type of credit card or the payment solution used.

Art. 6 Delivery of Products

6.1 Delivery of the Products is provided for in: Italy and the other Member States of the European Union. The user can read more information by accessing the section dedicated to “Shipping” on the Site. The user can access this section directly from the footer of the Site. In the event of any inconsistency between what is stated in this document and what is described in the section dedicated to Shipping, the latter section will prevail.

6.2 The obligation to deliver is fulfilled by transferring to you the material availability or in any case the control of the Product.

6.3 Delivery time of the Products from the sending of the order: delivery is made in 7 days.

6.4 The time limit indicated in Article 6.3 is to be understood as indicative and not mandatory. The Seller therefore reserves the right to deliver the Products within 30 days of the sending of the order. It is for you to check the condition of the Product delivered. Without prejudice to the fact that the risk of loss or damage to the Product, for reasons not attributable to the Seller, is transferred when you, or a third party designated by you other than the carrier, take material possession of the Product, the Seller recommends that you check the number of Products received and that the packaging is intact, not damaged, wet or otherwise altered, including the closing materials, and invites you, in your own interest, to indicate any anomalies on the carrier’s transport document, accepting the parcel with reservation. If the packaging shows obvious signs of tampering or alteration, it is advisable to notify the Seller promptly.

6.5 With reference to the possibility of requesting delivery of the Products to a “pick-up point”, the Seller informs you that the Site does not offer the possibility of collecting the Product at a “pick-up point” other than the address you provided during the purchase procedure. You are in any case invited to visit the Site regularly to check whether this delivery option is made available on the Site at a later date.

6.6 The user acknowledges that collecting the Product is a specific obligation of theirs. In the event of failure to collect the Product, the Seller reserves the right to terminate the purchase contract and to claim compensation for any damage suffered as a result of the failure to collect the Product.

Art. 7 Right of withdrawal

7.1 Users are invited to read this article with particular attention, as it governs the right of withdrawal.

7.2 The right of withdrawal is the Consumer’s right to terminate the purchase contract without being obliged to give a reason. If you have purchased as a Professional, the right of withdrawal does not apply, unless otherwise agreed with the Seller. Any exceptions to the right of withdrawal are set out in this Article 7. If there are no exceptions to the right of withdrawal, this Article 7 applies in full.

7.3 If you are a Consumer (and where none of the exceptions provided for in this article apply), you have the right to withdraw from the contract for the purchase of the Product without giving any reason and without bearing any costs other than those provided for in this article, within fourteen calendar days (Withdrawal Period). The Withdrawal Period expires after 14 days:

  • in the case of an order for a single Product, from the day on which you or a third party designated by you, other than the carrier, takes physical possession of the Products;
  • in the case of a Multiple Order with separate deliveries, from the day on which you or a third party designated by you, other than the carrier, takes physical possession of the last Product; or
  • in the case of an order for the delivery of a Product consisting of multiple lots or pieces, from the day on which you or a third party designated by you, other than the carrier, takes physical possession of the last lot or piece.

7.4 To exercise the right of withdrawal, you must inform the Seller of your decision to withdraw before the Withdrawal Period expires. To this end, you may write to the Seller at the contact details given in the Preamble, or use the contact form, if any, on the Site. You have exercised your right of withdrawal within the Withdrawal Period if the communication concerning the exercise of the right of withdrawal is sent by you before the Withdrawal Period expires.

7.5 Unless otherwise agreed, the direct costs of returning the Products are borne by the Consumer, as is responsibility for their transport. If the right of withdrawal is exercised, the Product must be delivered to the Seller’s premises, or to a different address communicated by the Seller.

7.6 Where withdrawal applies, the Seller will refund the Total Amount Due, including delivery costs, if applicable, without undue delay and in any case no later than 14 calendar days from the day on which the Seller was informed of the decision to withdraw from the contract. The refund will be made using the same payment method used for the initial transaction. If the Products were shipped using a carrier chosen by the Consumer and at the Consumer’s expense, the Seller may withhold the refund until receipt of the Products or until the Consumer has demonstrated that the Products have been sent back, whichever is earlier.

7.7 The Consumer is liable only for any diminished value of the goods resulting from handling of the Product other than what is necessary to establish its nature, characteristics and functioning. The Product must in any case be kept, handled and inspected with normal care and returned intact, complete in every part, perfectly functioning, together with all accessories and instruction sheets, with identification tags, labels and the single-use seal, where present, still attached to the Product and intact and untampered with, and perfectly suitable for its intended use and free of signs of wear or dirt. Furthermore, withdrawal applies to the Product in its entirety. It therefore cannot be exercised in respect of parts and/or accessories of the Product.

7.8 If the Product for which withdrawal has been exercised has suffered a diminution in value resulting from handling of the goods other than what is necessary to establish the nature, characteristics and functioning of the Product, the Seller reserves the right to deduct from the refund an amount equal to that diminution in value. The Seller will notify this circumstance and the resulting reduced refund amount, providing, if the refund has already been paid, the bank details for payment of the amount owed by the user because of the diminution in value of the Product. If withdrawal has not been exercised in accordance with the applicable law, it will not result in termination of the contract and, consequently, will not entitle you to any refund.

7.9 This article governs a very important area relating to return costs in the event of withdrawal. In light of the above, the Seller considers it appropriate to point out that the costs of returning the Product will be borne by you and are your responsibility.

Products must be returned to the address given in the “Seller details” section in the Preamble or to the address communicated by the Seller from time to time.

7.10 Without prejudice to the right of withdrawal, where applicable, and the rights provided by the legal guarantee of conformity, the customer cannot request replacement of the Product. Regardless of the law in force in the countries of destination, the right of withdrawal and any exclusion thereof will be governed by the provisions of the preceding articles, including with regard to customers resident in non-EU countries.

Art. 8 Legal Guarantee of Conformity

8.1 The Legal Guarantee of Conformity is reserved for the Consumer. It therefore applies only to users who made the purchase on the Site for purposes unrelated to any entrepreneurial, commercial, craft or professional activity they may carry out.

8.2 The Seller is liable towards the Consumer for any lack of conformity of the Product that becomes apparent within two years of delivery. The action to enforce defects not fraudulently concealed by the Seller is in any case time-barred twenty-six months after delivery of the goods.

8.3 Unless proven otherwise, lack of conformity that becomes apparent within twelve months of delivery of the Product is presumed to have existed at that date, unless this presumption is incompatible with the nature of the Product or the nature of the lack of conformity. From the twelfth month after delivery of the Product, it will instead be for the Consumer to prove that the lack of conformity already existed at the time of delivery.

8.4 In the event of lack of conformity of the goods, the Consumer is entitled to have conformity restored, or to receive a proportionate reduction in the price, or to termination of the contract on the basis of the conditions laid down by Art. 135-bis et seq. of the Consumer Code.

8.5 The Seller is not liable for damage, of whatever nature, arising from use of the Product in an improper manner and/or not in accordance with the instructions provided by the manufacturer, nor for damage arising from fortuitous events or force majeure.

8.6 If you made the purchase as a Professional, the preceding paragraphs of this article do not apply. In this case the legal guarantee is governed by Art. 1490 et seq. of the Italian Civil Code; in particular, the time limit for reporting any defects is 8 days from discovery and the action is time-barred 1 year from delivery.

Art. 9 Manufacturer’s Guarantee

The Manufacturer’s Guarantee is a guarantee additional to the Legal Guarantee of Conformity that may be provided by the Seller on the Products. Except as may be indicated on the Site, the Products sold on the Site are not covered by the Manufacturer’s Guarantee. You may in any case assert your rights under the Legal Guarantee of Conformity governed by the preceding article.

Art. 10 Governing law and jurisdiction; out-of-court dispute resolution - Alternative Dispute Resolution

10.1 Purchase contracts concluded through the Site are governed by what is indicated in these General Terms of Sale and, for anything not provided for, by the Italian Consumer Code.

10.2 Please note that in the case of a Consumer user, for any dispute relating to the application, performance and interpretation of this document, the court of the place where the user resides or has elected domicile has jurisdiction. In the case of a professional user, on the other hand, for any dispute relating to the application, performance and interpretation of this document, the court of the place where the Seller has its registered office, as provided in the Preamble, has jurisdiction.

10.3 The Seller informs the user who qualifies as a Consumer that, where they have submitted a complaint directly to the Seller and it has nevertheless not been possible to resolve the dispute thus arisen, the Seller will provide information on the Alternative Dispute Resolution body or bodies for the out-of-court resolution of disputes relating to obligations arising from a contract concluded on the basis of these General Terms of Sale (ADR bodies), specifying whether or not it intends to use such bodies to resolve the dispute.

10.4 The Consumer user’s right to bring the dispute arising from these General Terms of Sale before the competent ordinary court remains in any case unaffected, whatever the outcome of the out-of-court procedure for settling consumer disputes by recourse to the procedures referred to in Part V, Title II-bis of the Consumer Code.

A user residing in a Member State of the European Union other than Italy may also have access, for any dispute relating to the application, performance and interpretation of these General Terms of Sale, to the European procedure for small claims established by Regulation (EC) no. 861/2007 of the Council of 11 July 2007, provided that the value of the dispute does not exceed, excluding interest, rights and expenses, Euro 5,000.00. The text of the regulation can be found at http://www.eur-lex.europa.eu.

Art. 11 Customer service

11.1 You can request information, send communications, request assistance or submit complaints by contacting the Seller at the contact details given in the Preamble, or by using the contact form, if any, on the Site.

11.2 The Seller replies within an indicative time of 3 days.

Art. 12 Reviews

12.1 Pursuant to Legislative Decree no. 26 of 7 March 2023, the Site informs you that no tool allowing users to publish reviews directly is implemented on the Site. Reviews relating to purchase experiences on the Site are collected and published on the third-party platform Trustpilot, to which the Site refers through the badge in the footer. The authenticity of reviews is verified by Trustpilot in accordance with its own policies, which can be consulted on the platform’s website.

12.2 You are in any case invited to access this article on the occasion of future purchases to check whether a tool allowing users to publish their own reviews relating to purchase experiences on the Site has been implemented on the Site.

Art. 13 Miscellaneous

13.1 This document fully governs the relationship between you and the Seller. The rights and obligations provided for by the law applicable from time to time remain in any case unaffected.
